General Terms and Conditions
This agreement represents a binding contract between you ("you" or "your"), whether as an individual or on behalf of an entity, and PerfectProspect ("we", "us", "our"), regarding your use of the www.perfectprospect.io website and any related forms of media, channels, mobile websites, or web applications connected to it (together referred to as the “site”). By accessing the site, you confirm that you have read, understood, and agree to comply with these Terms of Use, including our Privacy Policy. If you do not agree with these Terms of Use in their entirety, you must not use the site and should cease all usage immediately.
Additional terms and conditions or documents occasionally posted on the site are also part of this agreement. We reserve the right to modify these terms at any time, at our sole discretion, and will notify you of any changes by updating the “last updated” date of these Terms of Use. You waive the right to receive individual notice of each change.
It is your responsibility to review these Terms of Use periodically. By continuing to use the site after the posting of revised Terms of Use, you accept and agree to the changes. You will be considered aware of and bound by any changes to the Terms of Use when you use the site after those changes are posted.
The information on the site is not intended for distribution to, or use by, any person or entity in any jurisdiction or country where such distribution or use would contravene local law or regulation or which would subject us to registration requirements within such jurisdiction or country. User Representations
By using the site, you represent and warrant that:

2 - You will maintain the accuracy of such information and promptly update it as necessary;

4 - You will not use the site for any illegal or unauthorized purpose;

If you provide any information that is false, inaccurate, outdated, or incomplete, we reserve the right to suspend or terminate your account and deny any current or future use of the site (or any part of it).
Fees and Payment Terms
Access to certain services on our site may require payment or the purchase of a subscription. When making purchases through the site, you agree to provide accurate and up-to-date information regarding your purchase and account. This includes your email address, payment method, and credit card expiration date, to ensure successful transactions and necessary communication.
We process payments through an online billing account. The prices of our services may include sales tax as required by us. We reserve the right to modify our prices at any time, and all charges are in US Dollars.
By making a purchase, you agree to pay the stated price for that service, and you authorize us to bill your chosen payment method. For services with recurring fees, you agree to ongoing charges to your payment method without needing individual authorization for each charge, until you cancel the service.We reserve the right to correct pricing errors, even after payment has been requested or received, and to refuse any order placed through the site.
Subscription Renewal
Your subscription will automatically renew at the end of each subscription period unless you inform us beforehand that you wish to cancel it. By not canceling, you authorize us to collect the applicable subscription fee, along with any taxes, using the payment details we have on file for you.
Free Trial
New users are offered a 10-day free trial. After the trial period, your paid subscription will begin on one of our paid plans unless cancelled before the end of teh trial period.
Cancellation Policy
All monthly purchases are non-refundable. If you have subscribed to an annual plan, you may request a refund within 24 hours of payment. You can cancel your subscription at any time by emailing us at support@perfectprospect.io or through your control panel under the Billing tab. The cancellation will become effective at the end of your current billing cycle.
Software Use
We may provide software as part of our services. If the software comes with an End User License Agreement (EULA), your use of the software is governed by the terms of the EULA. In the absence of a EULA, we grant you a non-exclusive, revocable, personal, and non-transferable license to use the software solely in connection with our services and in accordance with these terms of use.
The software, along with any related documentation, is provided "as is" without any kind of warranty, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement. You assume all risks related to the use or performance of any software. Redistribution or reproduction of the software is only permissible in accordance with the EULA or these terms of use.
Prohibited Activities on the Site
The use of our site is intended for purposes as defined by us, and it should not be used for any commercial activities not explicitly endorsed or approved by us.
As a user, you are prohibited from engaging in the following activities:
Unauthorized Data Collection: Do not systematically retrieve data or content from the site to create or compile a collection, database, or directory without our express written consent.

Avoid Overburdening the Network: Do not disrupt, interfere with, or create an undue burden on the site or its connected networks or services.No Impersonation: Do not impersonate other users, or use another user’s username.
Profile Transfer Prohibited: Your profile is not transferable.
No Abuse of Information: Do not use information from the site to harass, abuse, or harm others.
No Competitive Use: Avoid using the site for competing with us or for any revenue-generating or commercial enterprise not approved by us.
No Reverse Engineering: Do not attempt to decompile, disassemble, or reverse engineer any part of the site.
No Bypassing Site Measures: Avoid bypassing any measures we’ve put in place to restrict site access.
No Harassment of Employees or Agents: Do not harass, threaten, or intimidate our employees or agents.
Respect Copyright Notices: Do not remove copyright or proprietary rights notices from the site’s content.
No Code Manipulation: Avoid altering or adapting the site’s software, such as flash, php, html, javascript, or other code.
No Harmful Uploads: Do not upload or transmit harmful materials like viruses, or engage in spamming, which impedes others' use of the site.
Avoid Passive Data Collection Tools: Do not use tools for passive data collection and transmission, like spyware or PCMs.
No Unauthorized Automated Systems: Avoid developing or using unauthorized automated systems, like robots or scrapers, that access the site.
No Disparagement: Do not engage in actions that, in our opinion, could harm the reputation of us or the site.
Legal Compliance: Ensure your use of the site complies with all applicable laws and regulations.
Disclaimer
The site is provided on an "as-is" and "as-available" basis. Your use of the site and our services is at your own risk. To the maximum extent permitted by law, we disclaim all warranties, both express and implied, in relation to the site and your use of it. Limitation of Liability
Under no circumstances will PerfectProspect, its suppliers, or licensors be liable for any damages arising from this agreement, including, but not limited to, incidental or consequential damages, procurement costs for substitute services, data loss or corruption, or costs exceeding the fees paid by you to PerfectProspect during the twelve months prior to the cause of action. PerfectProspect is not liable for any failure or delay resulting from circumstances beyond reasonable control. This limitation of liability does not apply where prohibited by law.
Miscellaneous
These Terms of Use, along with any posted policies or operating rules, constitute the entire agreement between you and us. Our failure to enforce any right or provision is not a waiver of that right or provision. These terms are enforceable to the fullest extent permitted by law. We may transfer our rights and obligations to others at any time. We are not liable for any loss, damage, delay, or failure to act caused by any reason outside our reasonable control.
If any part of these Terms is deemed unlawful, void, or unenforceable, that part is severable and does not affect the validity and enforceability of remaining provisions.
No joint venture, partnership, employment, or agency relationship is created between you and us through these Terms of Use or site use. These Terms will not be interpreted against us solely because we drafted them. You waive any defenses based on the electronic form of these Terms and their non-execution by the parties.
